These terms and conditions govern the relationship between Vinařství PRAMENY s.r.o., ID No.: 21455724, Polešovice 571, 687 37, Czech Republic (hereinafter "Seller") and:
These terms are an integral part of every contract or order between the Seller and the Buyer.
By ordering or purchasing wine, the Buyer confirms that they agree to these terms.
The Seller undertakes to supply wine and related products according to the current offer.
These terms apply to both buyers (B2B) and end customers (B2C).
Orders may be placed by email, phone, or in person.
The order becomes binding upon confirmation by the Seller.
The Seller reserves the right to reject an order, particularly in case of product unavailability or unpaid receivables.
Wine sales take place only directly at the winery.
The purchase contract is formed by payment of the purchase price.
The Seller does not sell wine online.
Prices for buyers (B2B) are individually agreed. Prices for end customers (B2C) are stated including VAT.
Buyers pay by invoice with 14-day payment terms, unless otherwise agreed.
End customers pay in cash or by card directly at the winery.
Delivery dates are agreed individually.
Risk of damage passes to the Buyer upon receipt of the goods.
Sales to end customers take place by handing over the wine after payment at the winery.
The Buyer is obliged to inspect the goods immediately upon receipt and notify any defects without delay.
Visible defects must be reported within 7 days of receipt.
The Seller is only liable for defects arising from production or improper storage prior to delivery.
End customers must inspect the goods upon receipt.
Defects are resolved according to the Civil Code.
The Seller is not liable for damage caused by improper storage of wine after receipt.
For B2B transactions, the Seller's liability is limited to the value of the defective goods.
The Seller processes personal data of buyers and customers only for the purpose of fulfilling contractual obligations. More information can be found in the privacy policy.
This website and its content, including texts, design, graphics, photographs, logos, and trademarks, are the property of Vinařství PRAMENY s.r.o. or are used under valid licenses from third parties.
Any copying, reproduction, modification, distribution, public disclosure, or other use of the content without prior written consent of the Seller is prohibited.
Reverse engineering, modifications to web technology, or collecting data about users using automated tools (e.g., web crawlers) is prohibited, except for the search function on the pages.
Attempts to disrupt the operation or security of the website or use of content for unlawful purposes are prohibited.
Violation of these terms may be prosecuted according to applicable legal regulations.
These terms are governed by the law of the Czech Republic.
Disputes with business partners (B2B) will be resolved by the competent court in the Czech Republic.
End customers (B2C) may use alternative dispute resolution with the Czech Trade Inspection (www.coi.cz).
The Seller reserves the right to unilaterally change these terms.
The new version becomes effective upon publication on the Seller's website.
These terms are valid from August 1, 2025 and replace previous versions.
